This Agreement governs the provision of drone (UAV) services by MapWorx Aerial Solutions, LLC

(“Provider”) to ________________________ ("Client"). Acceptance of a quote, invoice, booking

confirmation, or signed agreement constitutes acceptance of these terms.

1. Scope of Services

Provider will perform UAV services as outlined in the approved proposal or quote. Services may include

aerial or ground-based photography, videography, mapping, inspections, construction monitoring, or

data collection. Deliverables may include imagery, video, orthomosaics, point clouds, 3D models,

volumetric measurements, or written reports and annotated maps.

2. Regulatory Compliance

Provider operates UAV systems in accordance with all applicable federal, state, and local regulations,

including FAA Part 107. Flights may be modified, delayed, or canceled due to airspace restrictions,

Temporary Flight Restrictions (TFRs), weather, or safety considerations. Provider maintains final

authority regarding operational safety and legality.

3. Client Responsibilities

Client confirms they have the authority to authorize aerial operations at the project site and agrees to

obtain required property permissions, provide safe site access, disclose hazards such as power lines,

antennas, cranes, or restricted areas, and notify relevant stakeholders, if required.

4. Weather and Operational Limitations

Drone operations depend on safe conditions, including wind, precipitation, visibility, lighting, and

electromagnetic interference. Provider reserves the sole discretion to determine safe operating conditions.

Weather-related rescheduling will not incur additional charges.

5. Scheduling

Project dates are estimates and may be affected by weather, airspace authorization, equipment

availability, or safety considerations. Provider will make reasonable efforts to meet project timelines.

6. Payment Terms

Payment terms will be outlined in the project quote or invoice. Unless otherwise stated, payment is due

within 30 days of invoice. Late payments may incur interest of 1.5% per month. Deliverables may be

withheld until payment is received in full.

7. Deliverables

Deliverables will be provided electronically unless otherwise specified. Delivery timelines depend on

project size, processing complexity, and weather conditions. Estimated delivery times are not

guarantees.

8. Data Accuracy Disclaimer

Drone-derived maps, measurements, models, and analytics are provided for informational purposes

only. Unless explicitly produced or approved and authorized by a licensed surveyor or engineer,

deliverables are not survey-grade and should not be used for legal boundary determination,

engineering design, or construction decisions.

9. Intellectual Property & Licensing

Provider retains copyright ownership of all imagery and data collected. The client receives a non-exclusive

license to use deliverables for internal business purposes related to the project. Deliverables may not

be resold, redistributed, or licensed to third parties without written permission. Provider may use

imagery for portfolio or marketing purposes unless otherwise agreed.

10. Privacy and Neighboring Property

Drone operations may incidentally capture imagery of neighboring properties or individuals. Provider

will make reasonable efforts to respect privacy, but cannot guarantee exclusion of the surrounding areas in

collected imagery.

11. Insurance

Provider maintains commercial liability insurance appropriate for UAV operations. Proof of insurance

may be provided upon request. Coverage does not extend to risks arising from unsafe site conditions or

inaccurate client information.

12. Limitation of Liability

Provider’s liability for any claim related to services shall not exceed the total amount paid by Client for

the project. Provider shall not be liable for indirect, incidental, consequential, or lost profit damages.

13. Indemnification

Client agrees to indemnify and hold Provider harmless from claims arising from unauthorized

operations requested by the Client, failure to obtain permissions, unsafe site conditions, or misuse of

deliverables.

14. Force Majeure

Provider shall not be liable for delays or failure to perform due to events beyond reasonable control

including weather, natural disasters, government restrictions, airspace closures, or equipment failure.

15. Cancellation

Projects canceled within 24 hours of scheduled service may incur a cancellation fee of 50% of the

project cost.

16. Governing Law

This Agreement shall be governed by the laws of the State of Colorado.

17. Acceptance

Acceptance of a quote, invoice, booking confirmation, or signature below constitutes agreement to

these terms.
